Authorized Reseller Policy

Kraken Nutrition, LLC (“Kraken Nutrition”) is committed to partnering with resellers to support the legitimate sale of Kraken Nutrition products. Kraken Nutrition maintains this Authorized Reseller Policy (the “Policy”) to safeguard our brand, intellectual property, and authorized partners. This Policy protects end consumers by ensuring they receive genuine Kraken Nutrition products with accurate information, consistent high-quality standards, fair pricing, and reliable customer service. It also promotes fair competition among resellers and rewards those who invest in stocking, marketing, and complying with Kraken Nutrition’s policies and programs.

If you have a separate, signed agreement with Kraken Nutrition, that agreement will supersede, govern, and control your relationship with Kraken Nutrition in all respects.

As used in this Policy, “Products” means products manufactured by or for Kraken Nutrition, or otherwise sold or marketed by Kraken Nutrition, which have been provided to you—or will be provided to you—by Kraken Nutrition or its authorized distributors. By purchasing Products from Kraken Nutrition or its authorized distributors, you agree to comply with the terms of this Policy.

To qualify as a Kraken Nutrition Authorized Reseller (“Authorized Reseller”), you must:

  • Be a business based and operated in the United States.

  • Maintain a verifiable physical location in the United States, such as a retail store, gym, or similar brick-and-mortar facility (virtual-only or home-based businesses without a public-facing physical storefront do not qualify unless explicitly authorized in writing).

  • Maintain an account with Kraken Nutrition in good standing.

  • Meet all other requirements below, unless otherwise explicitly authorized in writing by Kraken Nutrition’s Owner/CEO after the effective date of this Policy.

Permitted Sales Channels

  • Online sales of Products are strictly prohibited unless Kraken Nutrition grants prior written permission.

  • If permission is granted, you may only accept orders through one or more websites that you own and operate directly (your own branded site).

  • You may not offer, promote, or sell Products on any third-party online marketplace (e.g., Amazon, Walmart.com, eBay, Etsy, etc.), drop-ship platforms, classified sites (e.g., Craigslist, Facebook Marketplace, OfferUp, etc.), or any other unauthorized e-commerce channel.

  • You may not use any fictitious, hidden, masked, or undisclosed business name on any website or marketplace without prior written disclosure to Kraken Nutrition.

  • You may not sell Products to any person or entity that you know or have reason to believe intends to resell them online (whether on their own site, a third-party marketplace, or otherwise).

  • You agree to provide sell-through data or sales reports for Products when reasonably requested by Kraken Nutrition.

  • Your website(s) must not create the appearance that it/they are owned, operated, or officially endorsed by Kraken Nutrition.

  • You must cooperate reasonably by providing access to, copies of, or demonstrations of all relevant web pages where Products are displayed for sale when requested by Kraken Nutrition.

Minimum Order Requirements

  • All wholesale orders must have a minimum subtotal of $500 in Products (calculated after application of any applicable wholesale pricing discounts, but before any taxes, shipping fees, or other charges).

  • Orders below this threshold will not be processed.

Maintain Accurate Brand & Product Information

  • You acknowledge that Kraken Nutrition and/or its affiliates own all rights in Kraken Nutrition brands, names, logos, trademarks, service marks, trade dress, copyrights, images, product photos, and other intellectual property related to the Products (the “Kraken Nutrition IP”).

  • You have no proprietary rights in the Kraken Nutrition IP but are granted a limited, revocable authorization to use it solely for reselling Products in compliance with this Policy.

  • You must immediately cease all use of the Kraken Nutrition IP upon suspension or termination of your Authorized Reseller status.

  • Your use of the Kraken Nutrition IP must follow any brand guidelines provided by Kraken Nutrition and be commercially reasonable in size, placement, and manner. Kraken Nutrition reserves the right to review and approve (or disapprove) your use or intended use of the Kraken Nutrition IP at any time.

  • Without express written approval from Kraken Nutrition, you may not register or use any domain name, social media handle, or mobile application containing any Kraken Nutrition product name, trademark, or confusingly similar variation or misspelling.

Marketing, Advertising, and Claims

  • Products must be sold only in their original, unopened packaging. You may not represent or resell any returned, opened, used, or repackaged Product.

  • You may not create duplicate or alternative UPCs, barcodes, or identifiers for Products.

  • You must keep all product images, descriptions, ingredients, claims, and content accurate and up to date.

  • You may not engage in false, misleading, deceptive, or unethical advertising or sales practices.

  • You may not make any warranties, claims, or representations about the Products beyond those expressly approved in writing by Kraken Nutrition (consistent with FTC guidelines requiring competent and reliable scientific evidence for health-related claims).

  • You may not market, bundle, or display non-Kraken Nutrition products in a way that implies affiliation, endorsement, or association with Kraken Nutrition or its Products.

  • Products must never be misbranded or misrepresented as another brand.

Sales to End Users Only

  • You may purchase Products for resale only directly from Kraken Nutrition or its authorized distributors.

  • You may not sell Products to other resellers, wholesalers, distributors, or e-commerce operators.

  • If Products were not sourced directly from Kraken Nutrition or an authorized distributor, you are not authorized to resell them or use any Kraken Nutrition IP. Kraken Nutrition reserves the right to pursue enforcement against unauthorized sellers.

  • You may not sell Products in bulk. “Bulk” is defined as more than 6 units (or equivalent cases) in a single transaction or to a single customer, unless pre-approved in writing.

  • You agree to monitor for and report suspicious purchase patterns (e.g., frequent high-volume orders from one buyer) to Kraken Nutrition promptly.

Unauthorized Exports or International Sales

  • You agree to help prevent unauthorized export of Products. Without prior written consent from Kraken Nutrition, you may not advertise, sell, or ship Products outside of the United States, or sell to any party that you know intends to export or sell internationally.

Disclose All Seller Names & Properties

  • You must provide and keep current accurate information about your company, including all physical retail locations, websites, temporary storefronts, seller IDs, and channels used to sell Kraken Nutrition Products. Report all such details to support@getkrakennutrition.com.

Kraken Nutrition’s Minimum Advertised Price (MAP) Policy

  • You must comply with the separate Minimum Advertised Price (MAP) Policy provided by Kraken Nutrition or its authorized distributor. Violations of the MAP Policy will result in immediate revocation of Authorized Reseller status.

Legal Compliance

  • You must comply with all applicable federal, state, and local laws, regulations, and standards related to privacy, data security, accessibility, advertising, and sales of dietary supplements, including FDA regulations (e.g., DSHEA, cGMP), FTC guidelines on claims and advertising, PCI DSS for payments, and prohibitions on unsubstantiated health claims.

  • Maintain and publish a privacy policy on your website(s); use PCI-compliant payment processors and handle card data securely.

Termination and Enforcement

  • Non-compliance with any term of this Policy may result in enforcement actions, at Kraken Nutrition’s sole discretion, including:

    • Revocation of authorization to sell Products (with possible limited sell-through period for existing inventory);

    • Suspension or cessation of shipments;

    • Permanent account termination.

  • You may not circumvent this Policy. Violations are interpreted by Kraken Nutrition in its sole discretion.

  • No delay in enforcement waives any rights.

  • Upon suspension or revocation, immediately cease selling Products, stop implying any affiliation with Kraken Nutrition, and discontinue all use of Kraken Nutrition IP.

  • Kraken Nutrition may modify this Policy at any time, with changes effective upon posting or notice.

No Warranties; Limitation of Liability

  • Products sold "as is"; no additional warranties beyond label statements.

  • Kraken Nutrition disclaims indirect/consequential damages to the extent permitted by law.
